This product description is published by Swiftly Systems, Inc. (“Swiftly”) and is incorporated by reference into the reseller, wholesale-channel, or distribution agreement (the “Channel Agreement”) between Swiftly and an authorized reseller (the “Reseller”). It describes the SmartCreate Solution as made available to the retailers the Reseller enrolls (each, a “Retailer”).
1. Overview
SmartCreate is Swiftly’s AI-powered module that generates, optimizes, designs, formats, lays out, and exports circular and promotional content for a retailer from that retailer’s own item, price, and promotional data.
2. Service components
Circular generation
• Automated AI generation of weekly, monthly, and ad hoc circulars from Retailer item, price, and promotional data
• AI-driven product selection and page placement, subject to the Retailer’s merchandising rules, content locks, and must-carry items
• Banner-specific and store-group-specific versions, with content locking
• Exportable circular formats: PDF, HTML, and image assets
Content administration
• Portal for managing circulars, including upload of item and promotion data, review of generated layouts, and manual override of AI-selected content
• Role-based access permitting the Reseller to perform content administration on a Retailer’s behalf where that Retailer so instructs, and permitting a Retailer to self-administer
• Review-and-approval workflow: each generated circular is made available for review and approval before export
Insights
• One (1) insights seat per Retailer banner for the Swiftly insights dashboard, reporting circular content, composition, and delivery at banner and enrolled-store level
• One (1) program-level insights seat for the Reseller, reporting aggregate adoption and circular activity across all enrolled Retailers
The included insights dashboard reports on the circulars SmartCreate produces. It does not measure promotion performance. Measurement of promotion performance, sales lift, added sales, basket effect, grading, and related reporting, is the separate Promotion Analytics product described at swiftly.com/legal/analytics, which is licensed and priced separately.
General
• Hosted by Swiftly in a cloud environment
• Updates included at no additional charge
• AI-enabled, and subject to the artificial intelligence terms of the Channel Agreement and the Swiftly Acceptable Use Policy
• Swiftly creates and uses Aggregate Data and Deidentified Data derived from the Solution as described in the Swiftly Security Overview at swiftly.com/trust/security and in the Channel Agreement
3. Outputs
• AI-generated circulars and related creative assets and export files, made available for review and approval before publication
• Circular content, composition, and delivery reporting via the insights dashboard
4. What Swiftly needs from each Retailer
Swiftly’s performance depends on receipt of the following for each Retailer, in Swiftly’s specified formats, delivered to Swiftly’s SFTP endpoint or through the Portal, in advance of that Retailer’s requested enablement date and thereafter on the recurring cadence required to generate each circular:
• product and item data, including descriptions, sizes, unit-price information, and images;
• price and promotion data, including offer terms, effective dates, and any required disclaimers or legal copy;
• circular calendars, page counts, merchandising rules, category priorities, and content locks or must-carry items;
• the enrolled store list for each banner, with store identifiers and addresses;
• the Retailer’s logos, brand elements, and brand and graphics standards; and
• the names and contact details of the individuals authorized to review and approve Output on behalf of that Retailer.
5. Circular templates
Each Retailer receives three custom default templates, built to that Retailer’s brand and graphics standards: a one-page format, a four-page format, and a six-page format. The templates differ in page count and in the number and arrangement of item positions each provides; all three support the same generation, review, and export functions. Additional custom templates are available at the rate set out in the applicable Services Schedule.
6. Review and approval of Output
Output is generated by probabilistic and automated means. It may be inaccurate, incomplete, non-compliant with a Retailer’s requirements, or otherwise unsuitable for a particular use; identical or similar inputs may produce different Output at different times; and Output is not legal, regulatory, pricing, or professional advice.
No Output may be published, printed, distributed, transmitted, or otherwise used externally except following review and approval by the Retailer for which it was generated, or by the Reseller acting on that Retailer’s instructions where the Reseller performs content administration on its behalf. Review includes verification of item descriptions, prices, offer terms, effective dates, disclaimers, and compliance with all laws applicable to advertising and promotion.
7. Availability and support
Availability, support tiers, severity levels, and response commitments for SmartCreate are set out in the Swiftly Service Level and Support Policy at swiftly.com/legal/support.
8. Changes to this description
Swiftly may update this description from time to time and will give the Reseller at least thirty (30) days’ written notice before a change takes effect. Swiftly will not make a change that materially reduces the Services during the then-current term without the Reseller’s written consent. Swiftly will keep the version in effect on the date of a Channel Agreement, and each later version, available to the Reseller on request.
